Item 5.03    Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. On March 4, 2023, the Board of Directors of Unum Group (the “Company”) adopted amendments to the Company's Amended and Restated Bylaws (the “Bylaws”). Article II, Section 4 of the Bylaws was amended to allow for the adjournment of a meeting of stockholders without notice in accordance with Delaware law. Article II, Section 5 of the Bylaws was amended to reserve the white proxy card for exclusive use by the Company. Article II, Section 7 of the Bylaws was amended to remove the requirement that the Company make a list of stockholders available for inspection during a meeting of stockholders. Article III, Section 2 of the Bylaws was amended to address compliance with the provisions of Rule 14a-19 promulgated under the Securities Exchange Act of 1934 for stockholders who solicit proxies in support of a stockholder nominee for election to the Board of Directors. In addition, certain other technical and non-substantive amendments were made in various sections of the Bylaws.
