Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers. On January 26, 2024, Therese M. Vaughan notified the Board of Directors (the "Board") of American International Group, Inc. (the "Company") of her decision to retire from the Board, effective January 31, 2024. Ms. Vaughan did not cite any disagreement on any matter relating to the Company's operations, policies or practices.
